IMPORTANT NOTICE
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and FileVault AI ("Company," "we," "us," "our"). By creating an account, clicking "I Agree," or accessing the Service in any way — via web, mobile app, desktop app, API, or MCP endpoint — you confirm you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. DESCRIPTION OF SERVICE
FileVault AI is a universal file intelligence platform. The Service enables users to connect third-party cloud storage accounts (Google Drive, Dropbox, Microsoft OneDrive, NAS devices, and others) via OAuth or API; index file content using AI-powered extraction, OCR, and vector embeddings; search indexed files using hybrid semantic and full-text search; chat with their documents using natural language via retrieval-augmented generation (RAG); process images, scanned documents, and handwritten notes using AI vision models; automate file synchronization on configurable schedules; and expose their indexed vault to external AI agents via a Model Context Protocol (MCP) endpoint. MCP tokens grant read-only access to your indexed content and search functionality. External AI agents accessing your vault via MCP can only retrieve data you have explicitly authorized through token issuance.
BYOK Model. FileVault AI does not provide AI inference. All AI-powered chat, answering, and vision processing use the API keys you provide for third-party AI providers (Anthropic, OpenAI, Google, or locally-hosted models via Ollama). You are solely responsible for your usage and all associated costs with those providers. FileVault AI is not liable for any charges incurred with your AI provider.
Infrastructure. The Service is hosted on Fly.io (compute), Supabase (database and authentication), and Cloudflare (CDN, DDoS protection, DNS). Your use of the Service is also subject to the terms of those infrastructure providers where applicable.
2. ACCEPTANCE AND ELIGIBILITY
2.1 Acceptance. You accept these Terms by registering an account, using the Service, or clicking any acceptance prompt.
2.2 Age. You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use the Service.
2.3 Authority. If you use the Service on behalf of an organization, you represent you have authority to bind that organization to these Terms.
2.4 Geographic Restrictions. You may not use the Service from any country subject to comprehensive sanctions administered by OFAC, the EU, or the UN.
3. ACCOUNT REGISTRATION AND SECURITY
3.1 Accuracy. You must provide accurate, current, and complete information when registering and keep it updated.
3.2 Credentials. You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account.
3.3 Unauthorized Access. You must notify us immediately at [email protected] if you believe your account has been compromised.
3.4 One Account Per User. Personal accounts are for individual use. Creating multiple accounts to circumvent plan limits is prohibited and will result in termination of all associated accounts.
3.5 Team Accounts. Team plans require individual seats. You may not share a single seat among multiple users.
4. SUBSCRIPTION PLANS, BILLING, AND REFUNDS
4.1 Plans. FileVault AI offers Free ($0/mo, 500 files, 50 vision images, 1 connector, manual sync), Personal ($9/mo, 5,000 files, 500 images, 3 connectors, hourly sync), Pro ($29/mo, 50,000 files, 5,000 images, unlimited connectors, 15-min sync), Team ($79/seat/mo, 200k files/seat, 20k images/seat, unlimited connectors), and Enterprise (custom). 4.2 Billing Cycle. Paid plans are billed monthly or annually in advance. Annual plans are non-refundable after 14 days.
4.3 Payment Processor. Payments are processed by Stripe, Inc. Your payment information is stored by Stripe and is subject to Stripe's Privacy Policy (https://stripe.com/privacy). FileVault AI does not store complete card numbers.
4.4 Automatic Renewal. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time via Settings > Plan & Billing.
4.5 Price Changes. We may change subscription pricing with 30 days advance notice via email and in-app notification. Continued use after the notice period constitutes acceptance of the new pricing.
4.6 Refunds. We offer a 14-day money-back guarantee on first-time paid subscriptions. After 14 days, fees are non-refundable except where required by applicable law (including EU/UK consumer protection regulations and Australian Consumer Law). Refund requests must be submitted to [email protected].
4.7 Overages and Limits. When you reach a plan limit, new files will not be indexed and new vision images will not be processed. Existing indexed content remains accessible. We do not charge overage fees — you must upgrade to continue indexing additional content.
4.8 Taxes. Prices exclude applicable taxes (VAT, GST, sales tax). Tax is calculated based on your billing address and added at checkout. You are responsible for all taxes applicable to your use of the Service.
4.9 Free Plan. The Free plan is provided without charge and without any service level guarantee. We reserve the right to discontinue the Free plan with 60 days notice.
4.10 Enterprise. Enterprise customers are subject to a separate Enterprise Agreement. In the event of conflict between the Enterprise Agreement and these Terms, the Enterprise Agreement governs.
5. ACCEPTABLE USE POLICY
5.1 Permitted Use. You may use the Service solely for lawful personal, internal business, or professional purposes in accordance with these Terms.
5.2 Prohibited Conduct. You must not: upload, index, or process files containing child sexual abuse material (CSAM) or any content that sexually exploits minors; use the Service to store, distribute, or process material that facilitates terrorism, mass violence, or serious organized crime; attempt to reverse-engineer, decompile, or extract source code from the Service; attempt to access another user's data, account, or indexed files; use automated scripts or bots that circumvent rate limits; resell or sublicense access to the Service without written permission; use the Service to train AI models using other users' data; deliberately introduce malware through file uploads; circumvent security features; use the Service in violation of export control or sanctions laws; or create multiple accounts to bypass plan limits.
5.3 Enforcement. Violations may result in immediate suspension or termination without notice and without refund, and may be referred to law enforcement.
6. STORAGE CONNECTOR INTEGRATIONS
6.1 Third-Party Platforms. The Service connects to Google Drive, Dropbox, Microsoft OneDrive, Box, Amazon S3, and Notion through their official APIs. Your use of these integrations is subject to each platform's terms and privacy policies. FileVault AI is not affiliated with these platforms unless expressly stated.
6.2 OAuth Permissions. When you connect a storage account, you grant FileVault AI OAuth permissions to read file metadata and content solely for the purpose of indexing and providing the Service. We request only the minimum scopes necessary.
6.3 Scope of Access. FileVault AI accesses only files and folders you explicitly authorize. We do not access files outside the authorized scope, and we do not modify, delete, or write to your connected storage.
6.4 Revocation. You may revoke connector access at any time within the Service and through the connected platform's account settings.
6.5 NAS and Self-Hosted Storage. Connections to NAS devices occur via a locally-installed FileVault sync client. In this configuration, only embeddings and extracted text are sent to FileVault AI — your original file content does not travel through our servers.
7. AI AND MACHINE LEARNING SERVICES
7.1 BYOK. FileVault AI uses your API keys to call third-party AI models (Anthropic, OpenAI, Google, xAI, Mistral, Cohere, Deepseek, Ollama). Your API keys are encrypted at rest (AES-256) and in transit (TLS 1.3). We do not log, share, or use your API keys for any purpose other than making requests on your behalf.
7.2 AI Output Disclaimer. AI-generated responses, summaries, and search results are provided "as is" for informational purposes only. FileVault AI makes no warranty that AI outputs are accurate, complete, or suitable for any particular purpose. You are solely responsible for verifying AI-generated information before relying on it for any decision.
7.3 No AI Training on Your Data. FileVault AI does not use your file content, extracted text, embeddings, queries, or AI responses to train, fine-tune, evaluate, or improve any AI model. Your data is used solely to provide the Service to you.
7.4 Local Models. If you connect a locally-hosted model via Ollama, all AI inference occurs on your device or local network. FileVault AI does not transmit your content to any external AI service in this configuration.
7.5 FileVault Paid Provider (Gemini). Paid plan subscribers may use FileVault-hosted AI chat powered by Google Gemini. In this configuration, your queries and relevant vault excerpts are processed using a server-side API key managed by FileVault AI. Google's AI data policies apply to this processing. We select providers with documented no-training-on-input policies. Your file content is transmitted over encrypted channels and is not retained by the AI provider beyond the duration of the request.
7.6 Cross-Border AI Data Processing. When queries are processed by third-party AI providers, your data may transit through or be processed in jurisdictions outside your country of residence, including the United States. By using AI chat features, you acknowledge and consent to this cross-border data transfer. All transfers are protected by encryption in transit (TLS 1.3) and governed by the data processing terms of the selected AI provider.
8. FILE DATA — STORAGE, PROCESSING, AND RETENTION
8.1 What We Store. FileVault AI stores extracted text content, vector embeddings, file metadata (name, path, size, type, modification date, source), image descriptions from vision processing, and low-resolution thumbnails. We do not store a copy of your original files.
8.2 Data Location. Your data is stored in Supabase (PostgreSQL + pgvector). Paid plan users may select their preferred data residency region (EU-Frankfurt, US-East, AP-Singapore).
8.3 Retention. File index data is retained for as long as your account is active. When you delete a file, extracted content and embeddings are deleted within 24 hours. When you delete your account, all your data is permanently deleted within 30 days.
8.4 Sensitive File Content. Do not authorize indexing of files containing unencrypted passwords, private keys, PHI subject to HIPAA (without a BAA), PCI-DSS payment card data, or classified government information.
8.5 Vector Embeddings. Vector embeddings used for semantic search are generated server-side using a local open-source model (MiniLM). Your file content is never sent to any third-party service for embedding generation. Embeddings are mathematical representations that cannot reconstruct the original text.
9. INTELLECTUAL PROPERTY
9.1 Our IP. FileVault AI and its Service are protected by copyright, trademark, and other intellectual property laws.
9.2 Your Content. You retain all ownership and IP rights in your files. You grant FileVault AI a limited, non-exclusive, royalty-free license to access, read, extract, index, embed, and process your file content solely for the purpose of providing the Service. This license terminates when you delete the relevant data or close your account.
9.3 Feedback. If you provide feedback or feature suggestions, you grant FileVault AI a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose.
10. SERVICE AVAILABILITY AND SLA
10.1 No Uptime Guarantee (Free Plan). The Free plan is provided without any uptime guarantee.
10.2 Paid Plans. For paid plans, we target 99.5% monthly uptime for the core search and chat functionality. Scheduled maintenance will be announced at least 24 hours in advance.
10.3 Status Page. Service status is published at https://status.filevaultai.com.
11. DISCLAIMERS AND LIMITATION OF LIABILITY
11.1 Disclaimer of Warranties. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, THAT ALL FILE CONTENT WILL BE SUCCESSFULLY INDEXED, THAT SEARCH RESULTS WILL BE COMPLETE, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.
11.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FILEVAULT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS.
11.3 Cap on Liability. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) USD $100.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless FileVault AI from claims arising from your use of the Service in violation of these Terms, files you upload or authorize for indexing, or your violation of any third-party right or applicable law.
13. TERMINATION
13.1 By You. You may close your account at any time via Settings > Account > Delete Account.
13.2 By Us. We may suspend or terminate your account immediately for violations of the Acceptable Use Policy, fraudulent activity, or as required by law. We may terminate with 30 days notice for any other reason.
13.3 Effect of Termination. All indexed data will be permanently deleted within 30 days. No refunds will be issued for unused prepaid subscription periods except as required by law.
14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 Governing Law. These Terms are governed by the laws of the State of Delaware, United States.
14.2 Arbitration. Disputes that cannot be resolved informally shall be submitted to binding arbitration under the JAMS Arbitration Rules, in Delaware, USA or via video conference.
14.3 Class Action Waiver. EACH PARTY MAY BRING CLAIMS ONLY IN THEIR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION.
14.4 EU/UK Users. Nothing in this Section limits your rights under applicable EU or UK consumer protection law.
15. CHANGES TO TERMS
We may update these Terms at any time. For material changes, we will provide at least 30 days notice via email and in-app notification. Continued use after the effective date constitutes acceptance.
16. MISCELLANEOUS
16.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and FileVault AI.
